Deputy Head of Legal, M&A & Investments

About the role

We are seeking an experienced Deputy Head of Legal to lead complex M&A, investment, capital markets and financing transactions across Kazakhstan, CIS and international markets. The role combines hands‑on transaction work with strategic support to the Head of Legal and close collaboration with beneficiaries, shareholders and investment teams.

Key responsibilities

• Lead the legal aspects of complex M&A, investment, capital markets and financing transactions from structuring through completion.
• Manage due diligence, legal structuring, drafting, negotiations and execution of documentation.
• Advise on cross‑border transaction structures involving Kazakhstan, CIS countries and other jurisdictions.
• Apply and advise on Kazakhstan law, AIFC regulations and English law where relevant.
• Identify legal and regulatory risks and develop mitigation approaches.
• Support the Head of Legal on strategic matters and act as a senior team member.
• Lead negotiations with counterparties, external advisors and senior stakeholders.

Required profile

• 8–10+ years of experience in M&A, investments, capital markets or financing.
• Background in a top‑tier law firm, investment fund, investment bank, major holding or large corporate environment.
• Proven ability to independently manage complex transactions from structuring to execution.
• Fluency in Russian and English.
• Willingness to relocate to Astana and work full‑time on‑site.

Required skills

• Strong knowledge of English law (required).
• Knowledge of Kazakhstan law and AIFC regulations (advantage).
• Experience with cross‑border transactions involving CIS and international jurisdictions.
• Excellent legal drafting, negotiation, analysis and project‑management capabilities.
• Experience coordinating external legal advisors and mentoring junior lawyers.
