Legal Associate

About the role

We are looking for a Legal Associate to join our in‑house legal team in Almaty, reporting directly to the Chief Legal Officer. The role covers the full spectrum of TG Global’s legal work, from fund formation to regulatory filings, corporate governance and M&A support.

Key responsibilities

• Draft and negotiate fund documentation, including limited partnership agreements, offering materials, investment management and advisory agreements, subscription documents, side letters, and board and shareholder resolutions.
• Support AFSA regulatory workstreams such as licence variation applications, fund notifications, waiver applications, and regulatory audit responses.
• Prepare corporate governance documents, including constitutions, terms of reference, powers of attorney and service agreements.
• Assist capital markets mandates, including AIX bond listings, drafting terms and conditions, risk factors, bondholder meeting mechanics and structured product documentation.
• Contribute to M&A and corporate finance advisory engagements, preparing engagement letters, NDAs, term sheets, share purchase agreements and coordinating legal due diligence.
• Manage day‑to‑day commercial contract flow, including NDAs, service agreements and engagement letters.

Required profile

• 2–4 years post‑qualification experience gained at a leading international or regional law firm, in‑house at a regulated financial institution, or a combination of both.
• Qualification in a common‑law jurisdiction (England and Wales or comparable) or in Kazakhstan with demonstrable AIFC common‑law experience.
• Solid grounding in funds, asset management or capital markets work.
• Exposure to AIFC/AFSA, DIFC/DFSA, ADGM/FSRA, FCA or comparable regulatory regimes is a strong advantage.
• Full working proficiency in Kazakh, English and Russian, with the ability to draft to publication standard in both languages.

Required skills

• Precise, commercially‑minded drafting ability across long‑form fund documentation, regulatory submissions and transactional agreements.
• Strong organisational skills and the maturity to run workstreams with limited supervision.
